Model 231
Legislative Decree no. 231 of 8 June 2001 introduced the discipline of the Administrative Liability of Companies on the basis of which they can be held responsible, and consequently sanctioned, in relation to certain crimes committed or attempted in the interest or to the advantage of the company by directors or employees. The Company’s liability is excluded in the event that it has adopted and effectively implemented, before the commission of said crimes, organizational, management and control models suitable for preventing the crimes themselves and has established a body responsible for supervising the operation and compliance with the models.
GIS International has adopted the first Model 231 for the prevention of crimes committed in the interest or to the advantage of the company and has appointed a Supervisory Body with autonomous powers of initiative and control, in accordance with the law.

Sanctions Code
The definition of sanctions commensurate with the violation and applicable in the event of violation of the Model 231 aims to contribute to the effectiveness of Model 231 and to the effectiveness of the control action of the Supervisory Body, and is configured in strict compliance with all the provisions of the law, in compliance with the procedures provided, in particular, by art. 7 of the Statute of the Workers (Law no. 300 of 20/05/1970).
GIS International Srl intends to ensure the effective implementation of the Model pursuant to Legislative Decree 231/01, so that, through a specific policy of prevention of the commission of offences, the performance of corporate activities takes place in compliance with the law and the principles of correctness, transparency and loyalty.
